1. Acceptance of Terms

These Terms of Use govern your access to and use of RoofPatchers.com and any related pages, forms, content, and referral services made available through the website (collectively, the “Site” and “Services”).

By accessing or using the Site, submitting a quote request, uploading photos, contacting us, or otherwise using the Services, you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree, do not use the Site or Services.

You may not use the Site or Services if you are under the age of majority in your jurisdiction.

2. Nature of the Services

RoofPatchers is an independent referral, lead generation, and marketing platform.

RoofPatchers is not a roofing contractor, construction company, repair provider, inspector, engineer, adjuster, or insurer. RoofPatchers does not perform roofing services, dispatch roofing crews, supervise roofing work, manage job sites, or contract to provide roofing work.

RoofPatchers helps connect homeowners, property owners, occupants, and other users seeking roofing-related services (“Users”) with independent third-party roofing contractors, repair companies, and related service providers (“Roofers”).

3. Referral-Only Platform

RoofPatchers provides introductions only. RoofPatchers is not a party to any quote, inspection, proposal, estimate, scope of work, invoice, warranty, service agreement, repair agreement, replacement agreement, or other contract between a User and a Roofer.

Any agreement for roofing services is solely between the User and the Roofer selected by the User.

RoofPatchers does not:

  • set or control the Roofer’s pricing;
  • guarantee that any issue can or should be patched, repaired, or replaced;
  • guarantee a Roofer’s availability, qualifications, licensing, insurance, response time, workmanship, honesty, safety, suitability, or legal compliance;
  • guarantee that a referral will result in contact, a quote, service, or a satisfactory result.

4. No Agency; Independent Contractors

All Roofers referred through the Site are independent third parties and are not employees, agents, representatives, franchisees, partners, or joint venturers of RoofPatchers.

Nothing in these Terms or on the Site creates any employment, agency, partnership, joint venture, fiduciary, or other special relationship between RoofPatchers and any Roofer or User.

RoofPatchers does not direct or control the means, methods, schedules, materials, staffing, supervision, safety practices, permits, inspections, or performance of any Roofer’s work.

5. No Professional or Technical Advice

The Site and its content are provided for general informational and marketing purposes only.

Nothing on the Site constitutes roofing advice, engineering advice, legal advice, insurance advice, building science advice, inspection advice, or other professional advice. Any content about patching, repair, replacement, roof leaks, storm damage, or similar topics is general information only and should not be relied upon as a substitute for independent professional assessment.

6. No Warranty, Certification, or Endorsement

Any statements on the Site regarding contractor screening, responsiveness, experience, coverage area, licensing, insurance, or similar matters are informational only and may be based in whole or in part on information supplied by the relevant Roofer.

Unless expressly stated otherwise in writing by RoofPatchers, RoofPatchers does not warrant, certify, endorse, or guarantee:

  • the identity, reputation, trustworthiness, qualifications, licensing, insurance, or suitability of any Roofer;
  • the accuracy of any quote, inspection, diagnosis, recommendation, or proposal provided by any Roofer;
  • the quality, legality, timeliness, safety, completeness, or fitness of any work performed by any Roofer.

Users are solely responsible for conducting their own due diligence before hiring any Roofer, including verifying insurance, qualifications, licences where applicable, references, warranties, pricing, and compliance with applicable law.

7. User Requests and Information Submitted

A User may use the Site to submit a request for referral or quote information relating to roof patching, roof repairs, roof replacement, roof leak response, inspection, or related services.

By submitting a request, you represent and warrant that:

  • the information you provide is true, accurate, and not misleading;
  • you are authorized to request services for the property identified, or have permission from the owner or authorized occupant;
  • you have the right to share any photos, descriptions, and other content submitted through the Site;
  • your request is genuine and made in good faith.

You are solely responsible for the accuracy of the information you provide, including the description of the issue, the property address, urgency, contact information, and any uploaded photos or files.

8. Authorization to Share Information

By submitting a request through the Site, you authorize RoofPatchers to collect, use, and disclose the information you provide, including your contact details, property information, issue description, and uploaded photos, to one or more independent Roofers for the purpose of facilitating contact, quotes, inspections, and possible service offers.

Submission of a request does not guarantee that:

  • you will be matched with a Roofer;
  • any Roofer will contact you;
  • any Roofer will provide a quote or attend the property;
  • any service will be available in your area or within any stated timeframe.

9. No Liability for Roofers or Roofing Services

To the maximum extent permitted by law, RoofPatchers is not responsible or liable for:

  • any act, omission, negligence, misconduct, fraud, misrepresentation, breach of contract, delay, non-performance, or unlawful conduct by any Roofer;
  • any quote, estimate, inspection, diagnosis, recommendation, invoice, warranty, or representation made by any Roofer;
  • any property damage, water damage, mould, structural damage, personal injury, illness, death, business interruption, lost profits, or other loss arising from or related to services provided or not provided by any Roofer;
  • any dispute, claim, chargeback, lien, or legal proceeding between a User and a Roofer.

Any dispute regarding roofing services must be resolved directly between the User and the Roofer.

10. User Responsibilities

You agree to:

  • use the Site lawfully and only for legitimate service inquiries;
  • provide accurate information;
  • exercise due diligence before hiring any Roofer;
  • comply with all applicable laws and regulations.

You agree not to:

  • use the Site to submit false, fraudulent, or misleading requests;
  • impersonate any person or entity;
  • interfere with the operation or security of the Site;
  • scrape, copy, harvest, or misuse Site content or lead information;
  • use the Site to harass, abuse, threaten, or mislead Roofers, RoofPatchers, or any other person.

11. Fees

Unless expressly stated otherwise on the Site, RoofPatchers does not charge Users for submitting referral requests.

RoofPatchers may receive referral fees, advertising fees, subscription fees, marketing fees, lead fees, or other compensation from Roofers or other third parties. Such compensation does not make RoofPatchers the provider of roofing services and does not make RoofPatchers a party to any contract between a User and a Roofer.

12. Intellectual Property

All content on the Site, including text, logos, graphics, icons, design, layout, software, and other materials, is owned by or licensed to RoofPatchers and protected by applicable intellectual property laws.

You may not reproduce, modify, distribute, republish, scrape, display, or commercially exploit Site content without prior written permission, except for personal, non-commercial use as permitted by law.

13. User Content

If you submit photos, comments, descriptions, reviews, or other content through the Site (“User Content”), you retain ownership of that content, but you grant RoofPatchers a non-exclusive, worldwide, royalty-free licence to use, reproduce, store, modify, adapt, transmit, and display that content as reasonably necessary to operate, market, and improve the Services.

You represent and warrant that you have all rights necessary to provide the User Content and that the User Content does not infringe the rights of any other person.

14. Third-Party Links and Content

The Site may contain links to third-party websites or content. RoofPatchers does not control and is not responsible for third-party websites, content, policies, or practices. Accessing third-party websites is at your own risk.

15. Disclaimer of Warranties

To the maximum extent permitted by law, the Site and Services are provided on an “as is” and “as available” basis.

RoofPatchers disclaims all representations, warranties, and conditions of any kind, whether express, implied, statutory, or collateral, including any implied warranties or conditions of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, completeness, reliability, or uninterrupted access.

RoofPatchers does not warrant that:

  • the Site will be secure, available, or error-free;
  • the Site content is accurate, complete, or current;
  • any referral will produce a quote, inspection, booking, or successful result.

16. Limitation of Liability

To the maximum extent permitted by law, RoofPatchers and its owners, directors, officers, employees, contractors, affiliates, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or any loss of profits, revenue, business, data, goodwill, property, or opportunity, arising from or relating to:

  • your use of or inability to use the Site or Services;
  • your reliance on Site content;
  • any referral, introduction, or failure to match;
  • any acts or omissions of any Roofer or third party;
  • any roofing services, quotes, inspections, repairs, patches, replacements, invoices, warranties, or disputes.

If RoofPatchers is found liable despite the foregoing, its total aggregate liability shall not exceed the greater of:

(a) CAD $100, or

(b) the amount, if any, paid directly by you to RoofPatchers in the 3 months before the event giving rise to the claim.

17. Release

To the maximum extent permitted by law, you release RoofPatchers and its owners, directors, officers, employees, contractors, and affiliates from all claims, demands, damages, liabilities, and expenses arising out of or related to:

  • any services provided or not provided by a Roofer;
  • any statements, representations, or conduct of a Roofer;
  • any agreement or dispute between you and a Roofer;
  • any injury, damage, loss, or claim connected to roofing work or attempted roofing work.

18. Indemnity

You agree to indemnify, defend, and hold harmless RoofPatchers and its owners, directors, officers, employees, contractors, affiliates, licensors, and service providers from and against all claims, liabilities, damages, losses, penalties, costs, and expenses, including reasonable legal fees, arising out of or relating to:

  • your use of the Site or Services;
  • your breach of these Terms;
  • information or User Content submitted by you;
  • your dealings or disputes with any Roofer;
  • your violation of any law or the rights of any third party.

19. Privacy

Your use of the Site is also subject to our Privacy Policy. RoofPatchers handles personal information in accordance with applicable privacy law and the Privacy Policy. Private-sector organizations handling personal information in the course of commercial activity are generally subject to PIPEDA, and PIPEDA sets ground rules for the collection, use, and disclosure of that information. 

20. Electronic Communications

By submitting a form or otherwise communicating with us electronically, you consent to receive communications from RoofPatchers electronically, including by email, phone, and text message where permitted and relevant to your request. Canada’s anti-spam regime regulates commercial electronic messages, so any email/SMS consent flow on your site should be aligned with CASL requirements. 

21. Changes to These Terms

RoofPatchers may modify these Terms at any time by posting updated Terms on the Site. Your continued use of the Site after updated Terms are posted constitutes your acceptance of the revised Terms.

22. Governing Law and Forum

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

You agree that any dispute relating to these Terms, the Site, or the Services shall be brought exclusively before the courts of Ontario, unless applicable law requires otherwise.

23. Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable, the remaining provisions will continue in full force and effect.

24. Entire Agreement

These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and RoofPatchers regarding the Site and Services.
